PSL Law Group is a boutique business law firm located in Boulder and Denver, Colorado.
We offer "outside general counsel" services to businesses of all size ranging from startups to established growing firms.

We offer expertise in healthcare and the medical device industry. Our firm also provides international transactions, international medical device manufacturing and sales expertise unique to the Colorado market.
In my twenty-plus years of practice, whether I was an in-house lawyer or an outside law firm attorney, I have always thought of myself as a member of the business team providing sound legal advice versus a lawyer solely giving legal advice. A business lawyer must provide strategic advice to manage legal risk but at the same time recognize the complex business issues at play. While I enjoy working with start ups in all types of business, my practice includes health care products and services, international commercialization of products and services and building corporate compliance programs with particular focus on the Anti-Kickback Statute and the Foreign Corrupt Practices Act (FCPA).
I have represented both buyers and sellers in transactions ranging in size from $5 million to over $1 billion. I also have extensive international experience practicing in-house in Paris, France, negotiating and closing international acquisitions, licensing and development transactions and with unfortunate direct experience with the laws and regulations regarding Speedo requirements of French swimming pools.

My corporate and securities law practice emphasizes both emerging growth and established companies. I advise clients on venture capital financings, private placements, mergers and acquisitions, corporate governance, and securities law disclosure and compliance. I have represented both buyers and sellers in complex acquisitions, mergers, and restructuring transactions ranging in size from less than $1 million to over $1 billion. I also work with private investment funds and investment advisers on fund management, governance, and securities law compliance issues.
I love learning, meeting new people, and trying new things. I've written extensively in both academic and professional contexts. I am also an outdoor athlete, literature junkie, and coffee aficionado.

As a Preventive Controls Qualified Individual, I draft Food Safety Plans for facilities to comply with the Preventive Controls for Human and Animal Food Regulation, Production Process and Quality Control Systems under the Dietary Supplements CGMP, Foreign Supplier Verification Programs, and compliance programs for farms to comply with the Produce Safety Regulation. I also track the latest trends in food labeling and food labeling litigation, so my clients can stay ahead of the game in developing effective labeling and marketing strategies while meeting FDA and USDA requirements and reducing their litigation risk exposure. Finally, I help both food brands and manufacturers manage risk through the drafting and negotiation of food related commercial agreements, such as co-packing, supply, and distribution agreements.
Prior to practicing law, I started a non-profit enterprise in Western Kenya for farmers living with HIV to process soybeans into soy flour and soy beverage, worked in in Kenya, Uganda, Lesotho, and South Africa to help adopt conservation agriculture production practices, and worked with a food hub to help organic and conventional produce growers and small-processed-food businesses market their products, manage risk and practice food safety. While in agricultural policy, I focused on advocacy for germplasm conservation and covered issues of trade and food safety with the US House Committee on Agriculture and Senate Committee on Agriculture, Nutrition and Forestry.
I serve as a Board Member of the Colorado Fruit and Vegetable Growers Association and on the National Steering Committee for the Local Food Safety Collaborative.

I work with new businesses in all aspects of their early growth, from helping founders determine the best entity type to drafting the company's first round of financing. I help companies create create specialized contracts based on their specific needs, such as liability waivers, art licensing agreements, and white label agreements. My main priority is to ensure that my clients legal needs are taken care of quickly and efficiently, so that founders can spend more time doing what is important: growing their business.
